This Fulfillment Policy governs the delivery of services by Corposol Research India Pvt Ltd ("Corposol", "we", "our", "us") to our clients. It sets out our commitments regarding project delivery, timelines, payment terms, revisions, intellectual property, and post-delivery support for custom software development, mobile application development, web application development, and related IT services.
By engaging Corposol for any service, you agree to the terms set out in this policy, along with any specific provisions in your signed service agreement or Statement of Work (SOW).
1. Scope of Services
Corposol provides the following categories of services subject to this policy:
- Custom software development
- Web application development (frontend and backend)
- Mobile application development (iOS and Android)
- Web portal and corporate website development
- SaaS product development
- Software integration and API development
- Process automation and business workflow solutions
- Cloud solutions and deployment
- Software research and prototyping
2. Project Initiation
- All projects begin with a Discovery & Requirement Gathering phase where we document your requirements in a detailed scope document or SOW.
- A project commences officially upon receipt of the agreed advance payment and a signed SOW or engagement letter.
- Changes to requirements after project initiation are treated as Change Requests (see Section 6) and may affect timelines and costs.
3. Project Delivery and Timelines
- Project timelines are agreed upon during the discovery phase and documented in the SOW.
- We follow an agile or milestone-based delivery approach, with regular updates and demos at key stages.
- Timelines are estimates based on the agreed scope. Delays caused by client unavailability, late approvals, or scope changes will extend the delivery schedule accordingly.
- We will notify you promptly of any anticipated delays and work collaboratively to revise timelines.
- Final delivery is made upon completion of all agreed milestones and receipt of final payment.
4. Payment Terms
- Advance Payment: A minimum of 30–50% of the total project cost is required before work commences, as agreed in the SOW.
- Milestone Payments: For larger projects, payments are due at agreed milestone completion points as specified in the SOW.
- Final Payment: The remaining balance is due before final delivery and transfer of source code and assets.
- Retainer/Support: Monthly retainer fees for ongoing support are invoiced at the beginning of each month and are due within 7 days.
- Late Payment: Invoices not paid within the agreed due date may result in a pause in development work. We reserve the right to charge interest on overdue amounts at 1.5% per month.
- All prices are exclusive of applicable taxes (GST) unless stated otherwise.
5. Revision and Approval Process
- Each project phase includes a defined number of revision rounds as specified in the SOW (typically 2–3 rounds).
- Revisions must be submitted in writing (email or project management tool) within 7 business days of delivery of a milestone.
- Feedback received after the review window may be treated as a new Change Request.
- Silence or non-response to a delivered milestone for more than 14 business days will be treated as implicit approval.
6. Change Requests
- Any additions or modifications to the originally agreed scope are considered Change Requests.
- Change Requests must be documented and approved in writing before implementation begins.
- Change Requests may impact project timelines and cost, which will be communicated to you before proceeding.
- Corposol is not obligated to implement a Change Request if it materially alters the project scope or is technically infeasible within the agreed platform.
7. Intellectual Property
- Upon receipt of full payment, all custom code and deliverables developed exclusively for your project are transferred to you.
- Corposol retains ownership of its proprietary frameworks, libraries, tools, and pre-existing intellectual property that may be incorporated into your solution.
- Third-party libraries or open-source components used in your solution are subject to their respective licences.
- Corposol reserves the right to showcase completed projects in its portfolio unless a confidentiality clause is specified in the SOW.
8. Testing and Quality Assurance
- All deliverables undergo internal quality assurance testing before handover.
- We deliver solutions that function as per the agreed specifications in the documented environment. Compatibility with third-party systems not specified in the SOW is not guaranteed.
- Clients are responsible for User Acceptance Testing (UAT) within the agreed review window.
9. Post-Delivery Support and Warranty
- Bug Warranty: Corposol provides a 30-day bug-fix warranty post final delivery. Defects in the delivered functionality as per the SOW will be fixed at no additional cost.
- The warranty does not cover new feature requests, third-party service failures, infrastructure issues, or bugs introduced by client-side modifications.
- Ongoing Support: Extended support, maintenance, and hosting services are available under a separate Support Retainer Agreement.
10. Cancellation Policy
- Clients may cancel a project at any time by providing written notice.
- Work completed up to the date of cancellation will be invoiced and is payable.
- Advance payments are non-refundable unless Corposol is unable to commence work within 30 days of the agreed start date.
- Deliverables produced up to the point of cancellation will be handed over upon settlement of outstanding payments.
11. Refund Policy
- Refunds are not provided for work already completed and delivered as per the agreed scope.
- If Corposol is unable to deliver a committed feature or milestone due to reasons solely attributable to us, we will offer a partial refund proportionate to the undelivered work or credit towards future services.
- Refund requests must be submitted in writing within 15 days of the disputed delivery.
12. Confidentiality
Both parties agree to maintain the confidentiality of sensitive business information shared during the engagement. Corposol employees and contractors working on your project are bound by confidentiality agreements. We will not disclose your project details to third parties without your consent, except as required by law.
13. Limitation of Liability
Corposol's total liability for any claim arising out of or in connection with a project shall not exceed the total amount paid by the client for that specific project. We are not liable for indirect, incidental, or consequential damages, including loss of profit or business opportunity.
14. Governing Law
This Fulfillment Policy is governed by the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
